Timac Agro Brasil is in the process of acquiring SQM Vitas Brasil

Company sources informed that, after the deal is concluded, SQM Vitas Brasil will have its corporate name changed; new name has not yet been announced

Timac Agro Brasil is in the process of acquiring 99,9912% of the share capital of SQM Vitas Brasil Agroindústria. In turn, Timac's shares belong indirectly to the Roullier Group. He also owns: (a) directly, 0,0088% of SQM Vitas Brasil; and (b) indirectly, through SQM Vitas FZCO, another 49,9956%.

With the conclusion of the deal, Roullier Group will ultimately hold 100% of the share capital of SQM Vitas Brasil and will exercise unitary control over the company. The SQM Group will no longer hold any equity interest in SQM Vitas Brasil.

Company sources informed that SQM Vitas Brasil will have its corporate name changed. It will no longer use the SQM Group brand. Furthermore, the SQM Group will be able to carry out the same commercial activities and compete freely with SQM Vitas Brasil.

SQM Vitas Brasil Agroindústria, Importação e Exportação Ltda. manufactures and sells fertilizers for plant nutrition. According to information in SQM's annual report, its share capital is US$2.556.211,00. Its manufacturing unit is located in Candeias (Bahia).
