Tupy S.A. (“Tupy”), a Brazilian multinational dedicated to the development and manufacture of structural components for capital goods, announces the completion of the acquisition of MWM do Brasil for the amount of R$ 855 million reais.

The transaction is aligned with the growth strategy of both companies both in current businesses, by adding value to products, and in promoting viable solutions for decarbonization. Tupy, a metallurgical company with 84 years in the market, specializes in structural components applied to cargo transportation, in all modes, agricultural machinery, infrastructure and energy generation. MWM manufactures third-party engines under manufacturing contracts, which include machining, assembly, calibration, technical validation and engineering services.

With an extensive customer base, leveraged by recently acquired operations in Portugal and Brazil, Tupy supplies components to the main manufacturers of trucks, agricultural and construction machinery and engines in the world. And, with this acquisition, it hopes to extend the services provided by MWM to all its customers.

“Together, MWM and Tupy become a unique company in the market, which brings together casting, machining, assembly, technical validation and associated engineering activities in a single supplier. We are joining a company with great intellectual and technological capital, made up of experienced leaders, an entrepreneurial culture and which has high technical credibility in the industry”, explains Fernando Cestari de Rizzo, CEO of Tupy.

New sectors of activity

With the acquisition, Tupy enters the Energy & Decarbonization sector, supplying electricity generating sets for agribusiness and other applications. The Company has an engineering team prepared to adapt generators and commercial vehicles to the use of biogas, biomethane, biodiesel, natural gas and hydrogen, ensuring safety and high performance, in a process developed, certified and guaranteed by the MWM factory.

“The use of biogas and biomethane to generate electricity and as fuel for fleets of trucks, buses and agricultural tractors is the main route to the decarbonization of the national industry and exporter of proteins, dairy products, sugar and ethanol. Biogas production in the country is inherent to the size of Brazilian agribusiness. It will also be used, to a large extent, as fuel for the production of electricity on rural properties through electrical generators developed and manufactured by MWM”, says José Eduardo Luzzi, CEO of MWM.

This business vision has complete synergy with the initiatives announced by Tupy over the past year, including: development of materials, geometries and machining of components suitable for hydrogen as fuel and for ethanol or gasoline hybrid passenger cars; solutions for recycling and reusing lithium-ion batteries.

The replacement market and accredited workshops benefit another of the company's businesses: maritime, as MWM offers a wide range of solutions and equipment for marine propulsion and electricity generation for leisure and work vessels, with its own products or those of partners. internationally recognized.
