Nutrien announces purchase of Safra Rica

Despite being widely communicated today, market concentration occurred last year; approval by CADE took 14 days

Nutrien Soluções Agrícolas announced today (2/2) the completion of the purchase of all social quotas from Safra Rica (Safrarrica Comércio e Representações de Produtos Agrícolas Ltda.), an agricultural input retail company with 19 years in the Brazilian market (operating in Minas Gerais and São Paulo).

Safra Rica has nine retail units, seven in the Northwest of São Paulo and two in the Southwest of Minas Gerais.

The operation was completed and completed last year (2022). However, only today was the announcement made to the community.

The purchase of Safra Rica should generate concentration at least in the pesticide, fertilizer (in no broad sense) and seed (soy and corn) distribution markets. CADE (Administrative Council for Economic Defense) approved the operation within 14 calendar days (initial petition on 29/11; decision on 13/12). Nutrien now has 130 commercial units in Brazil, including stores and “experience centers”. 

The company has made several acquisitions, which "support the growth strategy, expansion of units and implementation of new technologies that leverage its presence in the country and consolidate its operations in agricultural retail in Latin America".

The operation described above took place through the Nutrien Soluções Agrícolas Ltda., local subsidiary of Canadian Nutrien Ltd (LAW 5493002QQ7GD21OWF963). 

In Brazil, the company formulates and sells agricultural products and services -- such as pesticides, fertilizers, special fertilizers and seeds.

Nutriem has a 50% stake in Profertil SA, whose command is exercised by the YPF SA (company of the State of Argentina, controlled by the Executive Branch of that country).

Em j with Mosaic Canada Crop Nutrition, Nutrien is a shareholder in Canpotex Limited, a potash exporting company, whose control is exercised jointly by the shareholders.

Nutrien also owns shares in Loveland Products Inc, based in the United States. This company sells special insecticides and fertilizers to Brazil.

In short, it owns all or half of the quotas or shares of the following legal entities operating in Brazil: Agap Brasil Trading, Agrichem, Agrosema Comercial Agrícola, Canpotex, Casa do Adubo, Casal Comércio e Serviços, Loveland Products, Marca Agro Mercantil , Nutrien Participações, Nutrien Soluções Agrícolas, Profertil, Tec Agro and Terra Nova.
