CESB celebrates 15 years
The National Soybean Productivity Challenge and CESB's National Soybean Productivity Forum have become references in terms of stimulating the highest soybean yields
Kepler Weber informed that it must sign in the next few days an “investment contract, purchase and sale of shares and other agreements” with the objective of purchasing the majority of shares in Procer Automação S/A, a company that develops technologies that allow automation, control and remote monitoring of storage plants. The measure was approved by its board of directors.
Procer is a pioneer in using digital sensors in grain storage management and offers equipment that allows silo automation, as explained by Kepler Weber. It is a legal entity founded in Criciúma (SC), with clients in Brazil and abroad.
According to information from Kepler Weber, the founders of Procer will remain in the company (Eduardo de Aguiar, Murilo Gehrmann Schneider and Tarcísio Cardoso Selinger). The deal provides conditions for the acquisition of the remaining stake in Procer by March 2028.
With the acquisition of Procer, Kepler Weber increases its portfolio with products and services complementary to the SYNC platform, with automation that allows monitoring and operating the units, carrying out technological control of grain temperature and humidity in the processing and storage process.
The conclusion of the deal is subject to the usual suspensive conditions in operations of this nature and the signing of definitive documents.
UPDATE: the conditions imposed for the conclusion of the deal were made public on 9/3/23. The following stand out:
(a) Kepler Weber will pay R$5 million as a primary investment, as well as R$3.617.337,00 (three million, six hundred and seventeen thousand, three hundred and thirty-seven reais) reflecting the net debt position at closing due diligence, totaling R$8.617.337,00 (eight million, six hundred and seventeen thousand, three hundred and thirty-seven reais);
(B) Kepler Weber will also pay, as a secondary investment, the amount of R$ 42.216.663,00, (forty-two million, two hundred and sixteen thousand, six hundred and sixty-three reais), totaling the primary and secondary investments the value of R$50.834.000,00 (fifty million, eight hundred and thirty-four thousand reais).
In the year ended December 31, 2022, Procer obtained net revenue of R$60,4 million, with net profit of R$7,9 million and a recurring EBITDA margin from the operation of approximately 26,3%.
