Lar Cooperativa Agroindustrial approved, in assemblies held earlier this week in Medianeira (PR), changes to the governance structure of the organization and Lar Cooperativa de Crédito, Lar Credi. The proposals were unanimously approved by the members, in meetings that brought together around 400 participants, both in person and online.

The changes aim to adapt the management structure to the growth and diversification of Lar's business, with a clearer definition between the strategic functions of the Board of Directors and executive activities.

At Lar Credi, the new bylaws stipulate an Executive Board comprised of a Chief Executive Officer, a Business Director, and an Operations Director. These positions will be filled by the Board of Directors, taking into account technical qualifications compatible with the credit union's operations.

At Lar Cooperativa Agroindustrial, the statutory reform establishes a Board of Directors with seven members, including a President and Vice-President. The Board will be responsible for defining strategic guidelines, planning, budgeting, investments, monitoring results, and hiring the CEO and other members of the Executive Board.

The Executive Board will report to the Council and will consist of an Executive President and directors appointed according to the organization's needs. The Executive President's responsibilities will include managing the Cooperative and its subsidiaries, implementing the guidelines established by the Council, and monitoring business results.

According to Lar's CEO, Irineo da Costa Rodrigues, the change represents a new stage in the process of professionalizing management. "Now we are taking another strategic step, which is in Lar's governance," he stated.

The new bylaws of Lar Cooperativa Agroindustrial will come into effect on January 29, 2027. Under the new structure, the Board of Directors will be responsible for appointing the CEO and determining the composition of the Executive Board.

New areas of activity

The reform also updates the activities outlined in the bylaws. Among the changes are the inclusion of different energy sources, such as solar, wind, hydroelectric, biomass, biodiesel, and ethanol; the provision for working with carbon credits; and the possibility of developing and licensing software for the Cooperative, members, and third parties.

The members also authorized Lar to file a lawsuit to challenge the legality and constitutionality of the increase in Funrural and the Environmental Risk at Work (RAT), promoted by Complementary Law No. 224/2025.

At the same meeting, the incorporation and subsequent dissolution of WBill Participações Societárias Ltda. and Granjeiro Alimentos Ltda. by Lar Cooperativa Agroindustrial were approved.

With these changes, Lar seeks to align its governance structure with the current size and complexity of its business, separating strategic and executive responsibilities and reinforcing the professionalization of its management.
