The Fiscal Supervisory Board of Bayer AG met for a day-long session on Wednesday (26) to discuss the company's current situation and made a series of decisions to address the current challenges facing Bayer. The Supervisory Board drafted additional actions related to the litigation strategy for upcoming cases and resolved specific measures designed to address the course of the company's glyphosate litigation and mediation activities. The Supervisory Board recognizes the negative effect that litigation uncertainty has had on the share price and stakeholder perception, and is determined to help the company move forward decisively but prudently on the matter. To this end, a new committee of the Oversight Board will intensively monitor these topics, consult with the Board of Directors and make recommendations on litigation strategy. It will be composed equally of shareholder and employee representatives and will consist of eight Supervisory Board members, many of whom have extensive experience in complex litigation.
Additionally, US attorney John H. Beisner has been retained to advise the Fiscal Council on issues related to glyphosate litigation, including trial and mediation tactics, on an ongoing basis. His appointment is intended to add new and independent perspectives to the Board of Directors. Beisner will attend meetings of the new committee. He will also report regularly to the Supervisory Board in his advisory capacity. A recognized expert in products liability litigation, Beisner leads the Mass Tort, Insurance and Consumer Litigation department at the prestigious Skadden law firm in Washington, D.C. Beisner has served in important leadership roles in several high-profile products liability cases, including successful defenses. settlements on behalf of large multinational companies. "We are convinced that, with his experience, John H. Beisner will provide very valuable and concrete advice on the ongoing litigation as well as on mediation," said Werner Wenning, Chairman of the Supervisory Board.
